Terms of Service
The terms on which the Teralax group supplies services, and the acceptable use policy that applies to everything we host.
These terms are a working draft. Have them reviewed by a qualified adviser against your jurisdiction, your commercial model and your service levels before relying on them contractually.
Last updated: to be set on publication. Supplier: Terralax Web Services (OPC) Pvt. Ltd., trading as Teralax Web Services.
1. Agreement
These terms govern the supply of services by Terralax Web Services (OPC) Pvt. Ltd. to the customer. Ordering a service, or using one, constitutes acceptance. Where a signed service agreement or order form exists, that document prevails over these terms to the extent of any conflict.
2. Services and provisioning
We will provide the services set out in your order with reasonable skill and care. Virtual services are normally provisioned automatically on payment; physical services, colocation and managed engagements are provisioned to an agreed schedule.
3. Fees and payment
Charges are payable in advance unless agreed otherwise in writing. Invoices are issued through the client portal. Late payment may result in suspension after notice, and suspension does not relieve the obligation to pay accrued charges. Taxes are charged as applicable.
4. Term, renewal and cancellation
Services renew for successive terms unless cancelled before the renewal date through the client portal. Cancellation takes effect at the end of the current billing period unless stated otherwise in your order.
5. Service levels
Applicable availability commitments and remedies are set out in the service level terms for each service. Scheduled maintenance, customer-caused faults, force majeure events and issues within third-party networks are excluded from availability calculations.
6. Customer responsibilities
You are responsible for the content you host, for the security of your credentials and applications, for maintaining your own backups in addition to any we provide, and for ensuring your use complies with applicable law and with the acceptable use policy below.
7. Data and backups
Where backups are included, they are provided on the stated schedule and retention. Backups are a recovery aid and not a substitute for your own data protection arrangements. On termination, customer data is deleted after the stated grace period.
8. Suspension and termination
We may suspend or terminate a service for non-payment, for breach of the acceptable use policy, where continued operation threatens the stability or security of our network, or where required by law. Where practicable we give notice first; where a threat is active we may act immediately and notify afterwards.
9. Liability
Our liability is limited as set out in the signed agreement or, in its absence, to the charges paid for the affected service in the preceding billing period. We are not liable for indirect or consequential loss, loss of profit, or loss of data beyond our obligation to restore from backups we hold.
10. Changes
We may amend these terms on notice through the client portal. Continued use after the effective date constitutes acceptance.
11. Governing law
These terms are governed by the laws applicable at the supplier's registered office, and disputes are subject to the jurisdiction of the courts there. Specify precisely on publication.
Acceptable Use Policy
This policy applies to every service supplied by the group. It exists to protect our network, our other customers, and the people on the receiving end of anything hosted with us.
Prohibited content and activity
- Material that is unlawful in the jurisdiction of hosting, including child sexual abuse material, which is reported to the authorities without exception.
- Unauthorised access attempts, port scanning, exploitation or penetration testing against systems you do not own or have written authorisation to test.
- Denial-of-service activity, traffic amplification, or participation in botnets from services we supply.
- Distribution of malware, ransomware, credential-stealing tooling or phishing infrastructure.
- Unsolicited bulk email, SMS or messaging, and hosting of infrastructure that supports it.
- Infringement of copyright, trademark or other intellectual property rights.
- Fraudulent, deceptive or impersonating services, including fake stores and payment-harvesting pages.
- Any use that materially degrades service for other customers or endangers network stability.
Resource use
Shared services carry fair-use limits on CPU, memory, storage and I/O so that no single account degrades the platform for others. Sustained overuse is handled by notice and a move to a more appropriate service tier, not by silent throttling.
Reporting abuse
Abuse reports may be submitted through the client portal with the subject marked ABUSE. We investigate every report, acknowledge receipt, and act proportionately — from notifying the customer through to immediate suspension where harm is active.
Enforcement
Breach of this policy may result in content removal, suspension or termination without refund, and referral to law enforcement where the conduct is criminal.
